TERMS AND CONDITIONS OF SALE (T&Cs / CGV)

1. Identification of the Seller

These Terms and Conditions of Sale (“T&Cs”) are entered into between:

and any natural or legal person (hereinafter the “Customer”) purchasing published content, digital materials, or accessing services offered via the BARELLA.APP platform.

2. Purpose

These T&Cs define the conditions applicable to:

  • the sale of digital publications and documentary materials,
  • the provision of methodological tools and artifacts made available via download,
  • access to restricted areas or functionalities of the BARELLA.APP platform, where applicable.

They apply to any order unless expressly agreed otherwise in writing.

3. Nature of Published Content and Tools

The materials published and distributed under the BARELLA.APP® name consist exclusively of:

  • editorial publications,
  • documentary and methodological content,
  • tools and artifacts provided as‑is.

The tools are provided for local use only and are intended to be installed, executed, and operated within the Customer’s own environment, under their sole responsibility.

They do not constitute:

  • consulting services,
  • advisory or support services,
  • organisational implementation services,
  • SaaS, cloud, or hosted solutions.

No data is hosted, processed, or stored remotely by the Seller in connection with the use of these tools.

4. Order and Acceptance

An order is deemed final and binding upon:

  • acceptance of a quotation,
  • validation of an online order,
  • or payment of the agreed price.

Any order implies full and unconditional acceptance of these T&Cs.

5. Prices

Prices are stated in euros (€).

Unless otherwise specified:

  • prices are exclusive of VAT,
  • VAT not applicable – small business exemption under Article 57 of the Luxembourg VAT Law.

The Seller reserves the right to modify prices at any time.
The applicable price is the one in force at the time of the order.

6. Payment Terms

Payment is due in accordance with the conditions specified:

  • on the quotation,
  • on the invoice,
  • or during the online ordering process.

Accepted payment methods include:

  • Credit/Debit Card
  • any other payment method offered on the platform.

7. Late Payment

In the event of late payment:

  • statutory interest may be applied,
  • the Seller reserves the right to suspend access to digital content or services.

8. Liability

The Seller is bound by a best‑efforts obligation only.

The Seller shall not be held liable for:

  • improper or inappropriate use of the published materials,
  • decisions made by the Customer based on the content,
  • indirect or consequential damages.

9. Intellectual Property

All content, publications, tools, methodologies, documents, and materials are protected by intellectual property law.

  • BARELLA.APP® is a registered trademark.
  • MS4ICT™ is an unregistered trademark.

No intellectual property rights are transferred to the Customer.

10. Termination

The Seller reserves the right to suspend or terminate access to content or services in the event of:

  • non‑compliance with these T&Cs,
  • non‑payment,
  • abusive or improper use.

11. Personal Data

Personal data is processed in accordance with applicable data protection regulations and the privacy policy available on the website.

12. Governing Law and Jurisdiction

These T&Cs are governed by Luxembourg law.

In the event of a dispute and failing amicable resolution, the courts of the Grand Duchy of Luxembourg shall have exclusive jurisdiction.
